We represent individuals, partnerships, corporations and financial institutions, with respect to incorporations, organization of companies, amalgamations, restructuring, and refinancing arrangements and dissolutions. We draft various documents such as shareholder and partnership agreements, asset and share purchase agreements, license and distribution agreements, consulting and employment agreements. We represent both landlords and tenants in negotiating lease agreements and provide general advice to a range of people - from modest-sized business owners to the boards of large corporations.

We act for Vendors, Purchasers and Lenders on purchases, sales, refinancing, powers of sale, and the sale of homes, businesses and properties as part of the settlement of estates. We also act for individuals and businesses in the purchase of property from the Province where property has escheated to the Crown. We provide advice on navigating the municipal and provincial bureaucracies including assisting clients with obtaining required permits and clearances from Building Departments, Conservation Authorities and the Electrical Safety Authority. We assist clients in obtaining severances, minor variances, easements and zoning changes and have appeared before the Corporation of the City of Sault Ste. Marie City Council and the Committees of Adjustment for Sault Ste. Marie, Wawa and the Sault North Planning Board, and the Ontario Ministry of Municipal Affairs and Housing.

We assist people to develop Estate Plans to protect and enhance assets at the time of death including the preparation of Wills, Powers of Attorney, Family and Business Trusts, estate freezes, working in conjunction with the client's financial advisor and/or accountant. We advise estate trustees and executors/executrixes in the administration of estates including providing advice on duties and potential liabilities, location and liquidation of assets, payment of debts, and distribution of estate assets to beneficiaries. We apply on behalf of our clients to the Court for Certificate of Appointment of Estate Trustee both where a Will exists and where this is no Will (Formerly known as Letters of Probate and Letters of Administration).

We are firm believers in the importance of communicating the message that people should have a plan in place for their retirement and ensure that their estate is distributed according to their wishes and as a result we have been involved in the past and will continue in the future to host numerous estate seminars with a variety of organizations including Zurich Insurance, the Royal Bank, TD Canada Trust, Nesbitt Burns, Sault Area Hospitals Foundation.

We work extensively with non-profit and charitable organizations including the incorporation, set-up and structuring of such organizations, interact with the various levels of governments on behalf of these organizations and provide general advice to officers, boards of directors, and members including attending and participating at boards of directors and general meetings of members.

We act for municipalities including providing general advice to municipal councils regarding rights and duties under various statutes and regulations, carrying out municipal tax sales, road closures, dealing with issues of conflict of interest, and drafting agreements and by-laws and resolutions. We also act for property owners who wish to appeal their property assessment value to the Assessment Review Board and have been before the Ontario Municipal Board.

We represent individuals and corporations in both the Small Claims court and the Superior Court of Justice and before regulatory and administrative tribunals. We have a diverse litigation practice that includes corporate/commercial, real estate, estate administration, labour and employment, motor vehicle, personal injury and landlord - tenant law. We will work with clients to develop a comprehensive strategy in order to achieve the objectives of the client and solve litigious matters.

We represent individuals and corporations by defending and advising clients with respect to criminal charges under the Criminal Code, and Youth Criminal Justice Act and in the quasi - criminal area with respect to charges under the Provincial Offences Act, Highway Traffic Act, Occupational Health and Safety Act and all other Ontario regulatory legislation.
